Terms of Service

The agreement between you and WooChat

Plain English summary: You pay a monthly or annual subscription to use WooChat. You must comply with WhatsApp's Business Policy and not use WooChat for spam. We provide the service as-is and are not liable for message delivery outcomes or Meta platform changes. Either party can cancel at any time.

1. Acceptance of Terms

By creating a WooChat account or using the WooChat service at woowhatsapp.com ("Service"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company, you represent you have authority to do so.

You must provide accurate, current information when registering. You are responsible for maintaining the security of your account credentials. WooChat is not liable for losses resulting from unauthorized use of your account. Notify us immediately at hello@woowhatsapp.com if you suspect unauthorized access.

4. Subscription and Billing

4.1 Plans and Pricing

WooChat offers monthly and annual subscription plans. Current pricing is displayed at woowhatsapp.com. Prices are in US Dollars (USD) and exclude applicable taxes.

4.2 Free Trial

New accounts receive a 14-day free trial with full access to all features. No payment is required during the trial. At the end of the trial period, a valid payment method is required to continue using the Service.

4.3 Billing

Subscriptions are billed through PayPal. By subscribing, you authorise recurring charges at the frequency you selected (monthly or annually). Charges occur at the start of each billing period.

4.4 Cancellation

You may cancel your subscription at any time from your billing page. Upon cancellation, you retain access until the end of the current paid period. No partial refunds are issued for unused time unless required by law.

4.5 Refunds

We offer a 7-day money-back guarantee on your first payment if you are not satisfied. Contact hello@woowhatsapp.com within 7 days of your first charge. Subsequent payments are non-refundable except where required by applicable law.

4.6 Price Changes

We will give at least 30 days' notice of any price increase. Your subscription rate is locked until your next renewal after the notice period.

You must comply with Meta's WhatsApp Business Policy and Commerce Policy at all times. WooChat may suspend your account without notice if Meta flags your WABA or phone number for policy violations.

You are responsible for ensuring your WhatsApp message templates comply with Meta's template guidelines and receive Meta approval before use. WooChat assists with template management but cannot guarantee Meta approval.

WooChat retains all rights to the platform, software, and associated intellectual property. You retain ownership of your data, customer data, and content you create (templates, chatbot knowledge base, etc.). You grant WooChat a limited licence to process your data solely to provide the Service.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. Where you process personal data of your customers using WooChat, you are the data controller and WooChat is the data processor.

9. Service Availability

We target 99.5% monthly uptime for the core platform. Scheduled maintenance will be communicated in advance where possible. Uptime does not include downtime caused by Meta's WhatsApp Cloud API, PayPal, or other third-party services outside our control. We do not issue credits for third-party service outages.

10. Limitation of Liability

To the maximum extent permitted by law, WooChat's total liability for any claim arising out of or relating to the Service shall not exceed the amount you paid in the 3 months prior to the claim. WooChat is not liable for:

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. WooChat does not warrant that the Service will be uninterrupted, error-free, or that any specific business results will be achieved. WooChat is an independent software provider and is not affiliated with, endorsed by, or a partner of Meta Platforms, Inc. or WooCommerce/Automattic.

12. Termination

Either party may terminate the subscription at any time. WooChat may immediately suspend or terminate your account for material breach of these Terms, non-payment, or violations of WhatsApp Business Policy. Upon termination, your data will be retained for 90 days and then permanently deleted, unless you request earlier deletion.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of South Africa. If you are located in the EU, mandatory consumer protection provisions of your local law apply.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
